Terms of Service

1. Acceptance of Terms

By accessing or using the CTCGX platform ("CTCGX", "Platform", "Service", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform.

These Terms constitute a legally binding agreement between you and CTCGX regarding your use of the Platform.

2. About the Platform

CTCGX is an online marketplace that facilitates the buying and selling of trading card game products between third-party buyers and sellers. We provide the platform infrastructure, payment processing, and related services to enable these transactions.

CTCGX does not own, sell, or purchase the items listed on the Platform. We act solely as an intermediary facilitating transactions between buyers and sellers. When you purchase an item, you are buying directly from the seller, not from CTCGX.

3. Eligibility

To use this Platform, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into binding contracts under Canadian law
  • Not be prohibited from using the Platform under Canadian law or the laws of your jurisdiction
  • Provide accurate and complete registration information

Due to payment processing requirements, users under 18 years of age are not permitted to create accounts or transact on the Platform.

4. User Accounts

4.1 Account Creation

You must authenticate using a supported OAuth provider (Google, Microsoft, LinkedIn, or Discord) to create an account. You are responsible for all activity that occurs under your account.

4.2 Account Security

You agree to:

  • Maintain the security of your OAuth credentials
  • Not share your account access with others
  • Immediately notify us of any security breach or unauthorized use
  • Accept responsibility for all activities under your account

4.3 Account Termination

You may delete your account at any time through your account settings. Upon deletion, your personal information will be removed in accordance with our Privacy Policy. Transaction records may be retained as required for legal, tax, and accounting purposes.

5. Seller Terms

5.1 Becoming a Seller

To sell on CTCGX, you must create a store and complete the Stripe Connect onboarding process. This includes identity verification and providing banking information for payouts. By completing onboarding, you agree to Stripe's terms of service in addition to these Terms.

5.2 Listing Requirements

When listing items for sale, you must:

  • List items on the correct product page with accurate details
  • Accurately describe the condition of each item using our condition grading standards
  • Ensure you have possession of, or reliable access to, all items you list
  • Price items in Canadian dollars (CAD)
  • Not list counterfeit, stolen, or prohibited items
  • Maintain accurate inventory counts

5.3 Order Fulfillment

When an order is placed and payment is received, you agree to:

  • Ship the order within 3 business days unless otherwise specified
  • Use the shipping method selected by the buyer
  • Package items securely to prevent damage during transit
  • Provide tracking information when available
  • Ship exactly what was purchased—correct card, condition, and quantity

5.4 Condition Grading

Accurate condition grading is essential to marketplace trust. You must grade cards honestly and conservatively. When in doubt, use a lower condition grade. Consistent overgrading may result in account suspension or termination.

5.5 Appointment as Limited Payments Agent

By listing items for sale, you appoint CTCGX as your limited payments agent for the sole purpose of receiving, holding, and settling payments for your sales. Payment received by CTCGX from a buyer on your behalf satisfies the buyer's obligation to pay you for that transaction, regardless of whether CTCGX subsequently settles those funds to you. If CTCGX does not remit payment to you as described in these Terms, you have recourse against CTCGX only, not against the buyer.

6. Buyer Terms

6.1 Purchasing Items

When you complete a purchase on CTCGX, you enter into a legally binding contract to buy the items from the seller. You agree to pay the full purchase price, including applicable taxes and shipping costs.

6.2 Payment

All payments are processed through Stripe. By making a purchase, you authorize CTCGX to charge your payment method for the total order amount. Your payment obligation to the seller is satisfied when CTCGX receives your payment, even if CTCGX has not yet transferred funds to the seller.

6.3 Receiving Orders

You agree to:

  • Provide accurate shipping information
  • Accept delivery of items you have purchased
  • Inspect items promptly upon receipt
  • Report any issues within 30 days of the estimated delivery date
  • Communicate with sellers in good faith to resolve any problems

7. Fees

7.1 Platform Fee

CTCGX charges sellers a platform fee on each completed sale. The standard platform fee is 10% of the item subtotal (excluding shipping and taxes). This fee is automatically deducted from the seller's proceeds before payout. For a detailed breakdown of fees, see our Seller Fees page.

7.2 Payment Processing

Payment processing fees charged by Stripe are paid by the buyer as part of the checkout total. Current Stripe fees for Canadian transactions are approximately 2.9% + $0.30 per transaction, though these may vary and are subject to change by Stripe.

7.3 Fee Changes

We may change our fees at any time by posting updated fees on the Platform with at least 14 days notice before the changes take effect. Fees in effect at the time of a sale govern that transaction.

8. Payments and Payouts

8.1 Payment Holding

When a buyer completes a purchase, funds are held in escrow until the order is confirmed as delivered. This protects both buyers and sellers by ensuring funds are available for refunds if issues arise, while guaranteeing sellers receive payment for successful deliveries.

8.2 Payout Release

Seller funds are released for payout when delivery is confirmed through tracking information, or after a reasonable holding period if tracking is unavailable. Payouts are processed according to your Stripe Connect payout schedule.

8.3 Refunds and Chargebacks

If a refund is issued or a chargeback occurs, CTCGX may deduct the refunded amount from your pending payouts or future earnings. You are responsible for any chargebacks resulting from your transactions. If your account has insufficient funds to cover chargebacks or refunds, you must promptly remit payment to CTCGX.

9. Shipping

9.1 Shipping Responsibility

Sellers are responsible for shipping items to buyers using the method selected during checkout. Items must be packaged securely to prevent damage during transit. Sellers bear the risk of loss until delivery is confirmed.

9.2 Shipping Methods

Sellers must configure their shipping options accurately. Buyers select from available shipping methods during checkout. Sellers may not charge shipping fees that significantly exceed actual shipping costs.

9.3 Lost or Damaged Shipments

If an item is lost or damaged in transit, the seller is responsible for resolving the issue with the buyer, either through replacement, refund, or insurance claim. We recommend sellers use tracked and insured shipping for valuable items.

10. Disputes and Refunds

10.1 Resolution Process

Buyers and sellers should first attempt to resolve disputes directly through our messaging system. Most issues can be resolved through good faith communication. If direct resolution fails, either party may escalate the dispute to CTCGX for mediation.

10.2 Refund Eligibility

Buyers may be entitled to a refund if:

  • The item was not received within a reasonable time
  • The item received differs significantly from the listing
  • The item condition was materially misrepresented
  • The item is counterfeit

10.3 CTCGX Mediation

When mediating disputes, CTCGX may apply full or partial refunds at our discretion based on the evidence provided by both parties. Our decisions in dispute mediation are final. We reserve the right to suspend accounts with excessive disputes or policy violations.

11. Ratings and Feedback

11.1 Purpose

Our rating system helps build trust in the marketplace by allowing buyers and sellers to rate their transaction experiences.

11.2 Rating Guidelines

Ratings and feedback must be:

  • Based on actual transaction experiences
  • Honest and accurate
  • Free from profanity, personal attacks, or harassment
  • Not used to manipulate or extort

11.3 Rating Manipulation

You may not manipulate ratings through fake transactions, purchasing feedback, or coordinating with others to artificially inflate or deflate ratings. Such activity will result in account termination.

12. Prohibited Items and Conduct

12.1 Prohibited Items

You may not list or sell:

  • Counterfeit or replica cards
  • Stolen property
  • Items you do not have the right to sell
  • Items that infringe intellectual property rights
  • Items prohibited by law

12.2 Prohibited Conduct

You may not:

  • Create multiple accounts to circumvent restrictions or manipulate the marketplace
  • Purchase from your own seller accounts or coordinate with others to do so
  • Attempt to complete transactions outside the Platform to avoid fees
  • Harass, threaten, or abuse other users
  • Use automated systems (bots, scrapers) without written permission
  • Interfere with the Platform's operation or security
  • Collect user information for unauthorized purposes
  • Circumvent security features or access controls

13. Intellectual Property

13.1 Platform Content

The Platform, including its design, features, functionality, and content (excluding user-generated content), is owned by CTCGX and protected by Canadian and international intellectual property laws. Trading card images and product data are used under license or fair use for marketplace purposes.

13.2 User Content

You retain ownership of content you create (listings, feedback, etc.), but grant CTCGX a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your content as necessary to operate the Platform.

13.3 Trademarks

"CTCGX" and associated logos are trademarks of CTCGX. Trading card game names (Pokémon, Magic: The Gathering, Yu-Gi-Oh!, etc.) are trademarks of their respective owners. CTCGX is not affiliated with or endorsed by any trading card game publisher.

14. Privacy

Your use of the Platform is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection and use of your information as described in the Privacy Policy.

15. Disclaimers and Limitation of Liability

15.1 Platform "As Is"

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

15.2 No Guarantee

CTCGX does not guarantee: the accuracy of listings or product information; that items are authentic, legal, or as described; that transactions will be completed successfully; or that the Platform will be available without interruption.

15.3 Third-Party Transactions

CTCGX is not responsible for user-generated content, listings, or the conduct of buyers or sellers. We do not verify the authenticity of items or the accuracy of listings. Transactions are between buyers and sellers; CTCGX is not a party to these contracts.

15.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CTCGX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING FROM:

  • Your use or inability to use the Platform
  • Transactions between users
  • User-generated content or conduct of other users
  • Unauthorized access to your account or data
  • Platform errors, interruptions, or security breaches
  • Any other matter relating to the Platform

IN NO EVENT SHALL CTCGX'S TOTAL LIABILITY EXCEED THE GREATER OF: (A) THE FEES PAID BY YOU TO CTCGX IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS ($100 CAD).

16. Indemnification

You agree to indemnify, defend, and hold harmless CTCGX, its directors, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Platform
  • Your violation of these Terms
  • Your violation of any rights of others
  • Your transactions with other users
  • Content you post on the Platform
  • Your violation of any applicable laws

17. Dispute Resolution

17.1 Governing Law

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.

17.2 Dispute Process

Before initiating legal action, you agree to first contact CTCGX to attempt to resolve the dispute informally. If informal resolution fails within 30 days, either party may pursue legal remedies.

17.3 Jurisdiction

Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in British Columbia, Canada, and you consent to the jurisdiction of such courts.

18. Modifications to Terms

We may modify these Terms at any time by posting updated Terms on the Platform. Material changes will be communicated via email or prominent Platform notice at least 14 days before taking effect. Your continued use after changes take effect constitutes acceptance of the modified Terms.

19. Termination

19.1 By CTCGX

CTCGX may suspend or terminate your access to the Platform at any time, for any reason, with or without notice. Reasons for termination include, but are not limited to: violation of these Terms, fraudulent activity, excessive disputes, or conduct harmful to the marketplace.

19.2 Effect of Termination

Upon termination: your right to use the Platform immediately ceases; any pending transactions may be cancelled; funds owed to you will be paid out according to our standard process after a holding period to account for potential chargebacks or refunds; and we may delete your account and content.

19.3 Survival

Sections relating to intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, and any other provisions that by their nature should survive, will survive termination of these Terms.

20. General Provisions

20.1 Entire Agreement

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and CTCGX regarding use of the Platform.

20.2 Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.

20.3 Waiver

CTCGX's failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

20.4 Assignment

You may not assign or transfer these Terms or your account without CTCGX's written consent. CTCGX may assign these Terms without restriction.

20.5 Force Majeure

CTCGX is not liable for delays or failures in performance due to causes beyond our reasonable control, including natural disasters, war, terrorism, internet failures, or government actions.
